Unless expressly stated otherwise, these preliminary or complimentary services do not create an ongoing consulting, fiduciary, professional-advisory, or other professional-services relationship.

A preliminary consultation, strategy call, audit, or assessment does not obligate you to purchase services from Blkfriars.

4. Paid Services and Separate Service Agreements

Paid implementation, consulting, automation, development, integration, strategy, or other professional services are governed by a separate written agreement between Blkfriars and the client.

The applicable service agreement may address matters including:

• Scope of services
• Deliverables
• Project responsibilities
• Fees and payment
• Timelines
• Intellectual-property ownership
• Confidentiality
• Data handling
• Third-party platforms
• Warranties
• Disclaimers
• Indemnification
• Limitation of liability
• Termination
• Dispute resolution

If these Terms conflict with a signed service agreement concerning paid services, the signed service agreement controls with respect to those services.

Nothing in these Terms changes the terms of a separately signed service agreement unless that agreement expressly provides otherwise.

5. AI-Assisted Services

Certain Blkfriars services use artificial intelligence, machine learning, or automated technologies.

For example, information submitted through our AI Opportunity Audit may be processed using ChatGPT or another approved artificial-intelligence system to assist with preparing analyses, assessments, summaries, recommendations, or related output.

AI-generated audit results are subject to human review before being provided as part of the AI Opportunity Audit.

Blkfriars may also use AI-assisted technologies for inbound telephone communications, appointment scheduling, transcription, summarization, information collection, customer relationship management, and administrative functions.

Our AI systems do not place outbound sales or marketing calls.

Artificial-intelligence systems may produce information that is inaccurate, incomplete, outdated, unexpected, or unsuitable for a particular purpose.

You are responsible for evaluating AI-assisted information in light of your own business circumstances and for obtaining appropriate professional advice where necessary.

6. No Professional Legal, Medical, Accounting, Tax, or Financial Advice

Information provided through our website, consultations, AI Opportunity Audits, AI-assisted services, communications, and other preliminary services is provided for general business, informational, and educational purposes.

Unless expressly stated in a separate written agreement, Blkfriars does not provide:

• Legal advice
• Medical advice
• Accounting advice
• Tax advice
• Investment advice
• Financial planning
• Regulated professional services

Nothing provided by Blkfriars creates an attorney-client, physician-patient, accountant-client, fiduciary, investment-advisory, or similar professional relationship.

7. No Guarantee of Results

Blkfriars does not guarantee any particular business outcome.

Without limitation, we do not guarantee:

• Revenue increases
• Profit increases
• Cost savings
• Return on investment
• Lead volume
• Conversion rates
• Customer acquisition results
• Staffing reductions
• Full automation
• Fully autonomous operation
• Complete replacement of employees or contractors
• Immediate business transformation
• A2P registration or approval
• Carrier approval
• Platform approval
• Third-party software approval
• Specific operational improvements

Results depend on numerous factors outside our control, including your business model, market conditions, lead quality, implementation, staff adoption, available resources, technology, customer behavior, and third-party systems.

Any projections, estimates, examples, case studies, illustrations, or expected outcomes are not guarantees of future performance.

8. User Information and Submissions

When you submit information through our website, forms, scheduling tools, calls, messages, or AI Opportunity Audit, you represent that:

• The information is accurate to the best of your knowledge
• You have the right and authority to provide the information
• Your submission does not violate another person's rights
• Your submission does not violate applicable law

You must not submit through standard website forms or communications:

• Passwords
• Authentication credentials
• Social Security numbers
• Full financial-account credentials
• Payment-card information unless specifically requested through an authorized payment system
• Protected health information
• Highly sensitive personal information that Blkfriars has not specifically requested

You must not provide confidential or proprietary information belonging to another person or organization unless you are authorized to disclose it.

Business information that you are authorized to provide may be submitted for purposes such as consultations, assessments, scheduling, and AI Opportunity Audits.

Please review our Privacy Policy before submitting personal information through the website or interacting with our services. Our Privacy Policy is intended to describe our privacy practices and does not expand contractual obligations beyond those imposed by applicable law or a separate written agreement.

10. Intellectual Property

The website and its content, including text, graphics, branding, logos, designs, layouts, software elements, methodologies, workflows, frameworks, tools, documentation, and other materials, are owned by Blkfriars or its licensors unless otherwise stated.

These materials are protected by intellectual-property and other applicable laws.

Client data remains subject to the applicable client's rights and the terms of any signed service agreement.

Ownership and licensing of deliverables, implementations, custom workflows, software, documentation, or other work product created for a paying client will be governed by the applicable signed service agreement.

11. Third-Party Services and Platforms

Our website and services may integrate with or depend on third-party software, platforms, APIs, telecommunications services, artificial-intelligence providers, hosting providers, communications tools, and other technology services.

These may include platforms such as HighLevel, also known as GoHighLevel, and ChatGPT, provided by OpenAI.

Third-party providers may independently change:

• Features
• Pricing
• Policies
• Terms
• Approval requirements
• APIs
• Availability
• Technical functionality
• Security requirements
• Service limits

Blkfriars does not control and cannot guarantee the continued availability, functionality, performance, approval, pricing, or policies of third-party services.

To the maximum extent permitted by law, Blkfriars is not responsible for interruptions, restrictions, changes, failures, or losses caused by third-party services that are outside our reasonable control.

Your use of third-party accounts, software, or platforms may also be subject to the terms and policies of those providers.

Nothing in this section limits responsibility that cannot lawfully be excluded or responsibility arising from Blkfriars' own conduct to the extent imposed by applicable law or a separate written agreement.

12. SMS Communications

If you elect to receive SMS communications from Blkfriars, your participation is subject to our separate SMS Terms and our Privacy Policy.

Consent to receive marketing SMS messages is not a condition of purchasing goods or services.

Transactional and marketing SMS consent may be requested separately.

You may opt out of eligible SMS messages using the methods described in our SMS Terms or applicable messages.

13. Email Communications

If you provide your email address, Blkfriars may send service-related, transactional, scheduling, inquiry-related, and promotional communications as permitted by applicable law.

You may unsubscribe from promotional emails using the unsubscribe mechanism contained in those messages.

We may continue to send non-promotional communications concerning existing inquiries, appointments, transactions, services, legal matters, or other ongoing business relationships as permitted by law.

14. Website and Service Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND COMPLIMENTARY OR PRE-ENGAGEMENT SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BLKFRIARS DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT:

• The website will operate without interruption
• The website will be error-free
• Information will always be complete or current
• AI-generated information will always be accurate
• Third-party services will remain available
• The website will be free from all harmful components
• Preliminary recommendations will produce a particular result

Any warranties applicable to paid services are governed by the applicable signed service agreement.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLKFRIARS AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO USE OF THE WEBSITE OR COMPLIMENTARY OR PRE-ENGAGEMENT SERVICES.

THIS INCLUDES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOSS OF:

• PROFITS
• REVENUE
• BUSINESS OPPORTUNITIES
• GOODWILL
• DATA
• EXPECTED SAVINGS
• BUSINESS CONTINUITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLKFRIARS' TOTAL AGGREGATE LIABILITY ARISING SOLELY FROM USE OF THE WEBSITE OR COMPLIMENTARY PRE-ENGAGEMENT SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

LIABILITY ARISING FROM PAID SERVICES PROVIDED UNDER A SEPARATE WRITTEN SERVICE AGREEMENT WILL BE GOVERNED BY THE LIMITATION-OF-LIABILITY PROVISIONS OF THAT AGREEMENT.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT THAT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

16. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Blkfriars and its members, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from or relating to:

• Your unlawful or unauthorized use of the website
• Information you submit without the required rights or authorization
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of another person's intellectual-property rights
• Your violation of another person's privacy or other legal rights

Indemnification obligations relating to paid client services will be governed by the applicable signed service agreement.

17. Suspension and Termination

We may suspend, restrict, or terminate access to the website or complimentary services where reasonably necessary because of:

• Violation of these Terms
• Suspected fraud or misuse
• Security concerns
• Unlawful activity
• Threats to our systems or users
• Conduct that materially interferes with operation of the website
• Legal or regulatory requirements

You may stop using the website at any time.

Termination of website access does not terminate or modify obligations under a separately signed service agreement.

18. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any separate signed service agreement may contain different governing-law provisions, in which case that agreement will govern disputes arising from the services covered by that agreement.

19. Dispute Resolution and Venue

Before filing a lawsuit concerning these Terms or use of the website, you and Blkfriars agree to make a reasonable good-faith effort to resolve the dispute informally.

If a dispute arising solely from these Terms or use of the website cannot be resolved informally and is not governed by a separate written service agreement, the dispute must be brought in an appropriate state or federal court located in New York County, New York.

You and Blkfriars consent to the personal jurisdiction and venue of those courts for such disputes.

Disputes arising from paid services provided under a separate signed service agreement will be governed by the dispute-resolution provisions of that agreement.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes to our website, business practices, services, technologies, or legal requirements.

When we update these Terms, we will post the revised version and update the “Last Updated” date.

Revised Terms apply prospectively from their effective date.

Changes to these Terms do not modify a separately signed service agreement unless the service agreement expressly permits the modification or the parties otherwise agree in writing.

Where appropriate, we may provide additional notice of material changes.

21. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary. The remaining provisions will remain in full force and effect.

22. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

A waiver is effective only if made in writing by an authorized representative of Blkfriars.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Blkfriars may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar business transaction, or as otherwise permitted by applicable law.

24. Entire Agreement and Order of Precedence

These Terms, together with policies expressly referenced in them, govern use of the website and complimentary or pre-engagement services.

A separately signed service agreement governs paid services.

If there is a conflict between these Terms and a signed service agreement concerning paid services, the signed service agreement controls.

Nothing in these Terms supersedes obligations that cannot lawfully be modified or waived.

25. Headings

Section headings are provided for convenience only and do not affect interpretation of these Terms.

26. Survival

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and accrued rights or obligations.
